Proposal & Scheduling
Any quotes or proposals not accepted within 30 days are subject to review. All production schedules are determined at the start of each project. Any delays or changes in project scope once project has started may require a renegotiation of final delivery dates.

Payment Policy
VentureSom requires a signed Letter of Agreement to begin the project, with 1/2 of the estimated project cost due prior to beginning the project. This deposit is non-refundable. The balance of the project cost is due when the project is completed. A completed project is one in which VentureSom’s work is done or work has stopped due to delays on the Client’s end (waiting to launch the site, waiting for photographs, taking time to enter more products, continuing to gather content, etc.). This money is also non-refundable. Claims for corrections, small changes or any issues must be made via email or letter to VentureSom within 14 days after completion of all or part of the project. All requests made after 14 days are subject to additional costs.

For projects under $500 VentureSom requires 100% of total payment up front before starting on the project.

Project Cancellations
If for any reason you wish to cancel your project, we require you to submit to us via email or fax, your request to cancel. Ownership of all original artwork or programming is retained by VentureSom. All initial deposit payments made to VentureSom are non-refundable, assuming we have started your project. In the unlikely event that work has not begun, your request for a refund will be processed.

Project Requirements
We require any supplied web images, graphics and copy content sent to us in electronic form, preferably by email. In some cases we can start your project without all of your materials in hand, using placeholders until you deliver your information. For ecommerce projects you will receive a project checklist of items that are your responsibility to handle and we are happy to help you with this. All web sites designed by VentureSom include the credit “site by: Venturesom.com” with a link to our web site. This credit is very small and unobtrusive at the bottom of the site pages and must not be removed with permission from VentureSom.

Changes to Project Terms
You are entitled to make changes that keep the labor/cost of the project within the quoted parameters. Should the amount and scope of the requested changes go beyond the initial estimated time/cost; an additional quote will be given.

Deliverables
For web site design projects, we will present 1-2 computer-generated color home page designs. At that time we require your feedback including changes or revisions that we will incorporate towards the final design. Two rounds of revisions are included with all of our quotes unless specified differently. We move forward only after your final approval of the design. Any changes or additions to the site/project that are requested after email approval or physical sign off has been given and will be charged on an hourly basis.

The responsibility for adding products to the web site is the client’s. VentureSom adds up to two products per category during the site build. And we are available to input all of the products for an additional cost. Your web site files are uploaded directly to your hosting server, completely installed and configured. We will also provide the files on a disc if required and the file size if reasonable.

Along with our initial proposal and again with the contract, we provide you with an estimate for the amount of time it might take to complete the project. Please keep in mind that it is an estimate only. There are many factors that influence the project’s timing including the timeframe in which we receive necessary files and content from you and the timing of feedback. We always do our utmost to complete projects in a timely manner.

Ownership
The Client shall retain ownership of all final artwork including web site graphics, marketing images and logo. VentureSom retains the right to use the final and preliminary designs for the purpose of marketing materials.

Permission
The Client is engaging VentureSom as an independent contractor for the specific project of developing and/or improving a web site, designing company logo or marketing service (see proposal for details). The Client authorizes VentureSom to access its hosting account or any other programs needed for this project as well as any confidential company information the project requires. We do not share your information with anyone!

Legal Issues
Any balances owed to VentureSom more than fifteen (15) days past the indicated due date from any invoice will be assessed a late payment penalty of 1.5 percent per month, and any invoices unpaid thirty (30) days after indicated due date may result in suspension of services until such invoices are paid in full. Client agrees that VentureSom will not be liable for any losses, claims and/or damages suffered by Client as a result of termination of work due to Client’s failure to render timely payment. Client also agrees to pay any fees and expenses including attorney fees otherwise incurred by VentureSom in collecting such overdue account fees.

The Client unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to VentureSom for inclusion in any project are owned by the Client, or the Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, indemnify and defend VentureSom and its subcontractors from any liability (including attorney’s fees and court costs), including any claim or suit, threatened or actual, arising from the use of such elements furnished by the Client.
